Legal advice to a member of Assessment Systems, an international HR group, on data protection, including comprehensive review of internal processes and relationships with customers according to personal data protection legislation and the establishment of compliance in this area, including the analysis of specific questions and the review of related documentation (template amendments and data processing agreements, information and instructions) so that it is in compliance with local legislation.

ATLAS COPCO

Legal assistance to Atlas Copco, a major international industrial group, in establishing its presence on the Croatian market through the incorporation of a limited liability company. Our support included advising on the applicable corporate laws, preparing all necessary corporate documents, and handling registration procedures with the Croatian Commercial Court Registry. Additionally, our firm assisted the client with registration in the UBO Registry and the e-communication system, as well as provided support on lease-related matters. We also provided legal advice on ensuring the compliance of the General Terms and Conditions of Sales and Services, which form the foundation of the client’s contractual agreements with customers.

J&T

Legal advisory services to a venture investment fund, J&T VENTURES CG SICAV, in connection with acquisition of a share in the company Choice QR, a modern European restaurant tool, including a digital menu, a website for pick-up and delivery, table reservations, QR codes, and more. We provided our client with DD of the target, drafted and amended transaction documentation, negotiated with the founders and seed investors, and managed the closing agenda. Our Polish and Ukrainian offices were involved in the DD of the target.

KOREP MONTÁŽE

Advising a Czech limited liability company engaged in electrical installation and locksmith work, on the recovery of a claim against a Polish debtor in restructuring proceedings in Poland. The role of the Czech leader of the advice is to assess the applicable laws, represent the client in the pre-litigation recovery of the claim, coordinate the legal services provided by the Polish lawyers in connection with the initiated restructuring proceedings of the debtor in Poland and recommend a further course of action and suitable strategy in the recovery of the client's claim. This assignment includes assessment of the client's claim from the perspective of Czech and Polish law as well as the application of Regulation (EU) 2015/848 of the European Parliament and of the Council of 20 May 2015 on insolvency proceedings.

L-FASHION

Comprehensive Czech VAT advisory to L-Fashion Group Oy (with the Luhta.com online shop), a Finnish family business founded in 1907, one of the largest sportswear companies in Europe. The advisory included a tax assessment of activities in the Czech Republic, and VAT compliance. The determination of the VAT treatment of Czech-Slovak cross-border transactions required effective collaboration with a Slovak tax advisor.

SAINT GOBAIN

The PETERKA PARTNERS Prague and Zagreb offices assisted Saint-Gobain with the Czech and Croatian legal aspects of the acquisition of Glass Service a.s., a leading provider of digital solutions for glass furnaces, including advanced control systems and simulation software that enables customers to reduce their energy consumption. The closing of the transaction was subject to antitrust approvals and took place on 2 April 2024. This acquisition will complement Saint-Gobain’s range of digital services, offering predictive, diagnostic, and data-driven solutions to improve energy efficiency for its customers and reduce the carbon footprint of their products and processes. PETERKA PARTNERS closely cooperated with the leading French law firm Gide Loyerette Nouel, which led legal teams in six jurisdictions. The PETERKA PARTNERS team consisted of Senior Associates Petr Říha, Patricie Čalová and Anja Haramija, and was led by Partner Ondřej Dušek.

VISUAL EUROPE GROUP

Legal advisory to Visual Europe Zrt., a company operating permanent event venues and organizing custom events, on corporate issues, including especially a decrease in the number of executive directors and the recalling of the executive director of its subsidiary Visual Europe s.r.o. (and requesting a new access code to the company's data mailbox). Our provided services included drafting all corporate documents, assistance with ensuring certification of signatures, and representation before a notary and other relevant authorities. We also assisted the client with obtaining other new access codes to the company´s data mailbox and appointment of its administrator.

XTEK

Legal assistance to Xtek Europe s.r.o., the Czech subsidiary of Xtek Inc., a worldwide supplier of custom manufactured industrial components for the steel, aluminium, and mineral processing industries, with day-to-day corporate matters, drafting the corporate documents necessary for the approval and publication of financial statements, including a review of commercial agreements. The advice also covers various commercial, employment, and corporate aspects of operations under Czech law.
